1. Agreement to these Terms
These Terms form a binding agreement between you and Trovah App ("Trovah", "we", "us"). The platform is engineered and stewarded by Jaflah Software Development Company (https://jaflah.dev).
If you use Trovah on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Platform roles
- Buyers browse stores, place orders, pay, track delivery, and manage wallet balances.
- Merchants (vendors) list products or menus, fulfill orders, and receive settlements subject to commission and payout rules.
- Delivery partners and logistics partners fulfill last-mile delivery under separate rider or fleet arrangements.
- Trovah provides marketplace software, payments orchestration, and operational tooling - we are not the seller of merchant goods unless expressly stated.
3. Accounts and eligibility
You must provide accurate registration information and keep it updated. You are responsible for activity under your credentials.
We may suspend or terminate accounts that appear fraudulent, abusive, unsafe, or in material breach of these Terms.
4. Orders, pricing, and availability
Product descriptions, prices (displayed in ₦ where shown in-app), and availability are provided by merchants and may change. An order is confirmed when the platform and relevant merchant accept it according to product rules.
Delivery estimates are operational targets, not guaranteed arrival times. Delays may occur due to traffic, weather, rider availability, merchant prep time, or force majeure events.
5. Payments and wallet transactions
Buyers may pay using supported methods, including card payments processed by Paystack and Trovah wallet balances where enabled.
Wallet funding, transfers (where enabled), order holds/settlements, refunds, and withdrawals create ledger entries. Balances may be temporarily held or restricted for risk review, dispute handling, or legal compliance.
Withdrawals are subject to identity checks, processor rules, bank availability, and any applicable fees disclosed in-product. Trovah is not liable for delays caused by banks or payment processors outside our reasonable control.
You authorize us and our payment partners to process charges, refunds, chargebacks, and adjustments related to your use of the service.
6. Refunds, cancellations, and disputes
Refund and cancellation outcomes depend on order status, merchant readiness, delivery progress, and the reason for the request.
- Before merchant acceptance or prep: cancellations may be available with full or partial refund according to in-app rules.
- After prep or dispatch: refunds are assessed case-by-case for missing items, quality issues, non-delivery, or verified service failures.
- Approved refunds are returned to the original payment method or Trovah wallet where technically supported.
- Chargebacks filed with card issuers may result in temporary holds and investigation. Providing false claims may lead to account action.
7. Vendor (merchant) terms
Merchants are independent businesses. By listing on Trovah you represent that you have legal capacity to sell your goods or services and will comply with food safety, consumer, tax, and licensing obligations applicable to your trade.
- Accurate catalogs: prices, photos, allergens where relevant, stock status, and prep times must be truthful and kept current.
- Fulfillment: accept or reject orders promptly; prepare items with care; pack for safe delivery; honor confirmed orders.
- Commission and fees: platform commission, delivery-related fees, and payout timing follow the schedule disclosed in your merchant agreement or console.
- Payouts: settlements are made to verified bank accounts after order completion windows, subject to holds for disputes, fraud signals, or policy breaches.
- Prohibited listings: illegal goods, counterfeit items, unsafe products, and content that violates Nigerian law or Trovah policies are forbidden.
- Account access: login credentials issued after onboarding are confidential; share only with authorized staff.
8. Delivery partners
Riders and logistics partners must follow traffic laws, safety standards, and Trovah delivery guidelines. Misuse of customer data, theft, harassment, or unsafe conduct is grounds for immediate removal.
Delivery fees and incentives are set by Trovah and may vary by city, distance, demand, and vehicle type.
9. Acceptable use
- Do not attempt unauthorized access, scrape without permission, reverse engineer, or disrupt platform integrity.
- Do not use Trovah to launder funds, evade sanctions, or process unlawful transactions.
- Do not harass users, submit fake reviews, or manipulate ratings and discovery unfairly.
- Do not upload malware, infringing content, or unlawful material.
10. Intellectual property
Trovah software, branding, and design systems are owned by Trovah App and/or Jaflah Software Development Company. Merchants retain ownership of their catalog content but grant Trovah a license to host, display, and promote listings for marketplace operation.
11. Privacy
Personal data is processed under our Privacy Policy, including NDPR-aligned rights and wallet-related processing disclosures. Using the service signifies you have read that Policy.
12. Disclaimers
The service is provided on an "as available" basis. While we engineer for reliability, we do not warrant uninterrupted or error-free operation.
Merchants are responsible for the quality and legality of their goods. Trovah is a technology marketplace platform and, except where required by law, is not a party to the sale contract between buyer and merchant.
13. Limitation of liability
To the maximum extent permitted by Nigerian law, Trovah and Jaflah Software Development Company are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill arising from use of the service.
Our aggregate liability for claims relating to the service is limited to the greater of (a) fees you paid to Trovah for the transaction giving rise to the claim in the three months preceding the claim, or (b) ₦50,000 - except where liability cannot be limited by law (including proven fraud or death/personal injury caused by negligence where such limits are unenforceable).
14. Indemnity
You agree to defend and indemnify Trovah and Jaflah Software Development Company against claims arising from your misuse of the service, your breach of these Terms, your unlawful content or products, or your violation of third-party rights - except to the extent caused by our proven gross negligence or willful misconduct.
15. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Courts in Nigeria shall have jurisdiction, without prejudice to mandatory consumer protections that cannot be waived.
We encourage good-faith resolution through our support channels before formal proceedings.
16. Changes
We may update these Terms as the product and regulations evolve. Continued use after the effective date of updated Terms constitutes acceptance, except where applicable law requires additional consent.
